The acquisition, priced at approximately $1 billion, represents a multiple of roughly 10 times projected 2026 EBITDA, including anticipated cost synergies. This multiple could decrease if the earn-out is achieved. The transaction is expected to boost margins for Vertiv's Services business, which already operates above-average corporate margins. PurgeRite will strengthen Vertiv's thermal management services capabilities and solidify its position as a global leader in next-generation thermal chain services for liquid cooling systems, including those supporting AI-driven data centers.
As high-performance computing (HPC) and the “AI factories” of the future drive higher thermal densities that require liquid cooling technologies, implementing and maintaining clean fluid circuits is essential to maximizing cooling performance. This process begins with optimal flow during startup, establishing an ultra-clean, air-free, and chemically stable coolant, and maintaining that balance to preserve performance throughout the system's lifecycle.
Effective fluid management—including high-speed circuit flushing to remove debris, purging air and gases, and filling with clean fluid—is an essential service that enables the operation of high-density data centers, promoting greater thermal efficiency, operational resilience, and availability.
PurgeRite brings engineering expertise, proprietary technologies, and scalability to meet the demanding schedules of data centers, enabling complex liquid cooling applications across the entire thermal chain, from chillers to refrigerant distribution units (CDUs). With strong relationships with hyperscalers and Tier 1 colocation providers, PurgeRite has established itself as an industry leader in mechanical cleaning, purging, and filtration services for mission-critical applications.

Following the closing of the transaction, PurgeRite's services will be integrated with Vertiv's existing liquid cooling solutions to offer comprehensive thermal management solutions, from the facility level down to the room, row, and rack levels. The transaction is subject to customary closing conditions, including obtaining the regulatory approvals required pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, and is expected to close during the fourth quarter of 2025.
